Amped Creator Program Terms

Effective date: September 3, 2026

These Amped Creator Program Terms (“Terms”) govern participation in the Amped Creator Program (“Program”) operated by Amped Clean Coffee Co. (“Amped,” “we,” “us” or “our”).

By applying to, joining or participating in the Program, you (“Creator,” “you” or “your”) agree to these Terms. If you do not agree, you may not participate in the Program.

1. Program overview

The Program allows approved creators to promote Amped products through authorized affiliate links, discount codes, TikTok Shop content and other approved promotional methods.

Depending on eligibility, participation and performance, creators may receive:

  • Commission on qualifying sales

  • Product samples

  • Access to creator resources and community discussions

  • Invitations to creator calls and campaigns

  • Early access to certain products

  • Performance bonuses

  • Paid content opportunities

  • Other benefits communicated by Amped

Approval does not guarantee free products, a minimum amount of compensation, paid opportunities or continued participation.

2. Eligibility

To participate, you must:

  • Be at least 18 years old

  • Reside in a location where the Program is available

  • Provide accurate application and payment information

  • Maintain at least one active social-media account or approved promotional channel

  • Comply with these Terms and all applicable laws

  • Follow the rules of every platform you use

  • Be legally able to receive payments

Amped may approve or reject any application at its discretion. Submission of an application does not guarantee acceptance.

You are responsible for keeping your contact, payment, tax and social-media information accurate and current.

3. Independent relationship

You participate as an independent contractor and not as an employee, agent, partner, franchisee or legal representative of Amped.

You may not enter into agreements, make commitments, incur obligations or speak on behalf of Amped. Nothing in these Terms guarantees employment, continued work, minimum compensation or any particular number of opportunities.

You are responsible for your own taxes, expenses, equipment, insurance and business obligations associated with your participation.

4. Affiliate links and discount codes

Approved creators may receive a personal affiliate link, discount code or other tracking method.

You agree that you will not:

  • Share another creator’s code as your own

  • Manipulate tracking or attribution

  • Place your code on unauthorized coupon websites

  • Use misleading redirects, forced clicks or cookie stuffing

  • Create unauthorized browser extensions, advertisements or automated traffic

  • Purchase through your own link or code solely to generate commission

  • Encourage fraudulent, duplicate or illegitimate transactions

  • Misrepresent a discount or promotion

  • Alter an affiliate link in a way that disrupts tracking

  • Impersonate Amped or create accounts that appear to be official Amped accounts

Amped is not responsible for commission that cannot be tracked because of deleted cookies, privacy settings, incorrect links, platform errors, customer behavior or circumstances outside Amped’s reasonable control.

5. Commissions

Commission rates will be displayed in the applicable affiliate platform, TikTok Shop offer, campaign brief or written communication from Amped.

Rates may vary based on:

  • Product

  • Platform

  • Campaign

  • Creator tier

  • Sales volume

  • Customer status

  • Use of paid advertising

  • Promotional discounts

  • Other program conditions

Amped may change commission rates prospectively. When practical, creators will receive advance notice of material changes. TikTok Shop commission changes and effective dates are also governed by TikTok Shop’s rules.

Unless otherwise stated, website affiliate commissions are calculated on the merchandise subtotal actually paid, excluding shipping, taxes, tips, gift cards and refunded amounts.

A sale is qualifying only when:

  • The customer completes payment

  • The transaction is properly attributed to the creator

  • The order is legitimate

  • The order is not canceled, refunded, returned, charged back or determined to be fraudulent

  • The creator complied with these Terms

Amped may withhold, reverse or deduct commission associated with returns, cancellations, chargebacks, fraud, self-referrals, policy violations or tracking manipulation.

6. Payments

Website affiliate commissions are generally reviewed and paid monthly after the applicable return and fraud-review period. Amped may establish a reasonable minimum payout threshold, which will be disclosed through the affiliate platform or creator materials.

If earned commission does not reach the minimum threshold, it may roll forward to a future payment period.

Creators must provide any information reasonably required to issue payment, including tax documentation when applicable. Amped may delay payment until required information has been received and verified.

TikTok Shop commissions are calculated, processed and paid according to TikTok Shop’s applicable policies and payment schedule. Amped does not control TikTok’s payout timing, account eligibility, deductions or platform enforcement decisions.

7. Product samples

Amped may offer free, discounted or refundable product samples to selected creators.

Receiving a sample does not guarantee compensation or a long-term partnership. Unless a campaign states otherwise, a sample is provided so the creator can genuinely experience the product and consider producing honest content.

Creators receiving samples through TikTok Shop must comply with TikTok Shop’s sample and posting requirements.

Amped may consider the following when approving future samples:

  • Content quality

  • Audience relevance

  • Previous posting activity

  • Sales performance

  • Communication

  • Compliance with program rules

  • Completion of prior sample commitments

Samples may not be resold, exchanged or returned for cash unless Amped provides written authorization.

8. Creator content and honesty

Creators maintain creative control over their personal content unless a separate campaign agreement says otherwise.

All statements must reflect the creator’s honest experience and opinion. Creators may not claim to use, enjoy or recommend an Amped product if that statement is untrue.

Creators may not:

  • Post knowingly false or misleading information

  • Fabricate personal experiences or customer results

  • Misrepresent product ingredients, certifications, testing or origins

  • Guarantee particular outcomes

  • Make deceptive price or availability claims

  • Copy another creator’s content without permission

  • Use fake engagement, purchased views or fraudulent traffic

  • Make statements that could reasonably damage Amped through dishonesty or misconduct

Amped may provide examples of successful content, suggested hooks and creative briefs. These materials are intended as inspiration and education, not permission to copy another creator’s work.

9. Advertising disclosures

You must clearly disclose your material connection to Amped whenever you promote an Amped product.

Disclosures must be easy to notice, understand and access. They may not be hidden at the end of a long caption, behind a “more” button or only placed on a profile page.

Appropriate disclosures may include:

  • “Ad”

  • “Sponsored”

  • “Paid partnership with Amped”

  • “Amped sent me this product”

  • “I earn commission from purchases made through my link”

The disclosure must accurately describe the relationship. Using only vague language such as “partner,” “collab,” “ambassador” or “thanks Amped” might not be sufficient by itself.

For video or livestream content, the disclosure should appear within the content in a way viewers can reasonably see or hear. You must also use any disclosure tools required by TikTok, Instagram, YouTube, Facebook or another platform.

You are responsible for complying with Federal Trade Commission endorsement requirements and all other applicable advertising laws.

10. Health and product claims

Creators may discuss their honest experience with Amped products, but they may not make unsupported medical, disease or treatment claims.

Unless Amped provides prior written approval, creators may not state or imply that Amped products:

  • Diagnose, treat, cure or prevent a disease

  • Eliminate mold exposure or mycotoxins from the body

  • Treat anxiety, depression, ADHD or another condition

  • Cause weight loss

  • Improve fertility, hormones or testosterone

  • Prevent cancer, diabetes or cardiovascular disease

  • Are safe or appropriate for every person

  • Have certifications or testing that Amped has not specifically confirmed

  • Provide any guaranteed health outcome

Creators may use current product information and approved talking points supplied by Amped. When uncertain about a claim, the creator must ask Amped before publishing it.

11. Brand assets and intellectual property

Amped may provide approved logos, product images, talking points, videos, graphics or other brand materials.

Amped retains ownership of its trademarks, trade names, logos, packaging, photographs and other brand assets. Your participation gives you a limited, revocable, nonexclusive and nontransferable right to use approved assets solely to promote Amped during your participation.

You may not:

  • Alter the Amped logo in a misleading or damaging way

  • Register a domain, account name or business name containing Amped’s trademarks

  • Claim ownership of Amped intellectual property

  • Sell merchandise using Amped branding

  • Create an account that could reasonably be mistaken for an official Amped account

  • Use Amped branding for an unauthorized product or service

  • Continue using Program materials after Amped requests removal

All goodwill resulting from authorized use of Amped trademarks belongs to Amped.

12. Creator ownership and Amped’s use of content

You retain ownership of original content you create.

By tagging Amped, submitting content directly to Amped or posting content as part of an Amped campaign, you grant Amped a nonexclusive, worldwide, royalty-free license to repost, share and display that content through Amped’s owned social-media accounts, website, emails and internal creator education materials.

Amped will make a reasonable effort to credit the creator when reposting social content.

Amped will obtain separate permission before materially editing creator content or using it in paid advertising, unless the applicable campaign agreement or platform authorization already grants those rights.

If Amped wants broader advertising, editing, whitelisting or long-term usage rights, those rights may be covered by a separate written agreement.

13. Community and creator calls

Approved creators may receive access to private chats, calls, training sessions or other community resources.

You agree to participate respectfully and not:

  • Harass, threaten or discriminate against another participant

  • Share another creator’s private information

  • Disclose confidential campaign information

  • Record or redistribute calls without permission

  • Spam, recruit or solicit creators for unrelated programs

  • Promote competing products inside Amped’s private community without permission

  • Misrepresent another creator’s performance or content

  • Disrupt calls or community discussions

Calls, examples and performance discussions are provided for education. Amped does not guarantee that using a particular format, hook or strategy will generate views or sales.

Attendance is optional unless a specific paid campaign agreement states otherwise.

14. Confidential information

You may receive nonpublic information about products, pricing, campaigns, launches, performance data, business plans or other creators.

You agree not to disclose or use confidential information outside your participation in the Program unless Amped provides written permission.

Confidential information does not include information that:

  • Becomes publicly available without your violation of these Terms

  • You lawfully possessed before receiving it from Amped

  • You lawfully receive from another source without a confidentiality obligation

  • You independently develop without using Amped’s confidential information

15. Paid advertising and search marketing

You may not run paid advertisements using Amped’s name, trademarks, affiliate links, product images or discount codes without prior written approval.

Unless expressly authorized, you may not bid on:

  • Amped

  • Amped Clean Coffee

  • Amped Clean Coffee Co.

  • Misspellings or variations of Amped trademarks

  • Amped product names combined with words such as “coupon,” “discount” or “promo code”

You may not create advertisements or landing pages that impersonate Amped’s official website or accounts.

16. Competing products

Participation in the general Program is nonexclusive unless a separate campaign agreement states otherwise.

However, creators may not falsely imply that Amped endorses a competing product or use confidential Amped materials to promote a competitor.

Individual paid campaigns may include reasonable category-exclusivity requirements, which will be disclosed before the creator accepts the campaign.

17. Performance and program status

Amped may classify creators by participation or performance level, including statuses such as Founding Creator, Active Creator, Amped Pro or similar designations.

Creator status, benefits, commission rates and access may depend on:

  • Qualifying sales

  • Content activity

  • Content quality

  • Compliance

  • Communication

  • Campaign participation

  • Community involvement

Program titles and benefits do not create a permanent right and may be changed or discontinued.

18. Suspension and termination

You may leave the Program at any time by notifying Amped.

Amped may suspend or terminate participation for reasons including:

  • Violation of these Terms

  • Fraudulent or suspicious activity

  • Misleading advertising

  • Failure to provide required disclosures

  • Unauthorized health claims

  • Harassment or inappropriate community behavior

  • Brand impersonation

  • Repeated failure to meet accepted campaign commitments

  • Conduct reasonably likely to harm Amped, its customers or other creators

  • Program inactivity

  • Business or operational reasons

For serious violations, termination may be immediate.

Following termination, you must stop presenting yourself as an Amped creator and discontinue unauthorized use of Amped links, codes and brand assets.

Valid commission earned before termination may remain payable after adjustments for returns, chargebacks, fraud and policy violations. No commission is owed on fraudulent activity or material violations connected to the transaction.

19. Program changes

Amped may update the Program, these Terms, commission structures, eligibility requirements or available benefits.

Material changes will apply prospectively when reasonably possible. Continued participation after updated Terms become effective constitutes acceptance of the revised Terms.

If you do not accept an update, you may stop participating before it becomes effective.

20. No guarantee

Amped does not guarantee:

  • Approval into the Program

  • Free products

  • A minimum number of sales

  • A minimum level of income

  • Social-media reach or engagement

  • Paid campaigns

  • Continued access to any platform or community

  • Availability of a particular product, rate or promotion

  • That a platform will properly track every transaction

Creator results depend on numerous factors outside Amped’s control.

21. Limitation of liability

To the fullest extent permitted by law, Amped will not be liable for indirect, incidental, special, consequential or punitive damages arising from participation in the Program, including lost revenue, lost profits, lost data or lost business opportunities.

To the fullest extent permitted by law, Amped’s aggregate liability relating to the Program will not exceed the amount of commission paid or payable to the creator during the six months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless Amped and its owners, employees and representatives from third-party claims, damages, penalties, liabilities and reasonable expenses arising from:

  • Your content

  • Your violation of these Terms

  • Your violation of applicable law or platform rules

  • Your infringement of another person’s rights

  • Your false, misleading or unauthorized statements

  • Your fraudulent or negligent conduct

23. Governing law

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms or the Program will be brought in a court of competent jurisdiction located in Arkansas, unless applicable law requires otherwise.

24. General provisions

These Terms, together with any campaign-specific agreement or platform rules, constitute the agreement governing your participation in the Program.

If a campaign-specific written agreement conflicts with these Terms, the campaign-specific agreement controls only for that campaign.

If any provision is found unenforceable, the remaining provisions will remain effective.

Amped’s failure to enforce a provision does not waive its right to enforce it later.

You may not transfer your participation, account, benefits or obligations without Amped’s written consent.
